Terms and Conditions

1. Scope and acceptance

1.1 These Terms govern access to the Apex website, account registration, deposits, package purchases, earnings, commissions and withdrawals.

1.2 “Apex”, “we”, “us” and “our” mean the legal entity identified above. “Client”, “you” and “your” mean the person or authorised entity holding an Apex account.

1.3 Before opening an account or purchasing a package, you must have an opportunity to read, download and accept these Terms and the applicable Package Schedule.

1.4 Each package purchase is governed by these Terms and the Package Schedule accepted at purchase. The Package Schedule takes precedence for that package’s price, rate, activation date, term, fees and capital treatment, subject always to applicable law.

1.5 Nothing in these Terms excludes rights or remedies that applicable law does not permit the parties to exclude.

2. Eligibility and account security

2.1 You must be at least 18 years old, legally capable of entering into this agreement, and permitted to use Apex’s services in your jurisdiction.

2.2 You must provide accurate registration information and keep it current. Unless Apex approves otherwise in writing, you may hold one personal account.

2.3 Apex may require proof of identity, address, source of funds, wallet ownership and, for entities, ownership and authority to act.

2.4 You must safeguard your password, authentication codes and account access. Notify Apex immediately if you suspect unauthorised access.

2.5 You may not use another person’s identity, submit false documents, conceal beneficial ownership, or use Apex for unlawful transactions.

3. Service and risk disclosures

3.1 Each Package Schedule must explain the underlying activity, how earnings are generated, who holds client assets, and the material risks and charges.

3.2 Purchasing a package may expose you to loss of some or all of your capital. Crypto assets also carry market, issuer, custody, cybersecurity and blockchain risks. USDT may lose its intended link to the US dollar.

3.3 A projected or target rate is not a guaranteed return. If a package creates a fixed contractual payment obligation, the Package Schedule must expressly identify that obligation and its conditions. Apex’s ability to meet that obligation remains subject to counterparty and insolvency risk.

3.4 Historical results, illustrative calculations and dashboard projections do not establish future performance.

3.5 Apex must not describe capital as protected, insured or guaranteed unless the Package Schedule identifies the legally enforceable protection, provider, scope and exclusions.

4. Deposits and supported networks

4.1 Deposit only using the asset, network and receiving address displayed in your authenticated Apex account.

4.2 A deposit is credited after the required network confirmations and applicable verification checks are completed.

4.3 Blockchain transfers may be irreversible. An incorrect address, unsupported asset or incorrect network may cause permanent loss. Apex will provide reasonable assistance with recovery where technically possible, without guaranteeing recovery.

4.4 Any recovery charge must be disclosed and accepted before recovery work begins.

4.5 Deposits do not automatically purchase a package or earn returns. A package requires a separate purchase and activation confirmation.

4.6 One USDT is recorded as one USDT. A US-dollar equivalent displayed on the website is indicative unless an actual conversion has been agreed.

5. Package confirmation

5.1 Before payment, Apex must provide a Package Schedule stating:

• Package price and denomination.
• Whether the stated rate is a target, variable rate or fixed contractual rate.
• Earnings calculation method and crediting frequency.
• Purchase date, activation date and exact maturity date.
• Any administration period and its effect on earnings.
• Treatment of the original capital at maturity.
• Withdrawal eligibility, processing times and fees.
• Early cancellation and refund rules.
• Material risks and any applicable protection.

5.2 Apex must issue a downloadable or emailed purchase confirmation containing the accepted Package Schedule and the applicable version of these Terms.

5.3 Different packages are calculated separately. Purchasing another package does not restart or extend an existing package.

6. Term and administration period

6.1 Unless a Package Schedule expressly states otherwise, a package runs for 12 calendar months from its activation date.

6.2 The activation date is included in the term. The maturity date is the first day outside the term. For an activation date without a corresponding date in the maturity month, maturity falls on that month’s final calendar day.

6.3 Any administration period forms part of the 12-month term and does not extend it.

6.4 An administration period does not automatically suspend earnings. Any days that do not earn must be identified in the Package Schedule before purchase.

6.5 Apex may not retrospectively introduce an administration period, extend maturity or remove accrued contractual earnings without a lawful basis or the client’s express agreement.

7. Earnings calculations

7.1 Unless the accepted Package Schedule expressly provides otherwise, earnings use a simple, non-compounding calculation based on 30 days:

Daily earnings = Package purchase amount × stated 30-day rate ÷ 30

Accrued earnings = Daily earnings × eligible earning days

7.2 For example, a package of 1,000 USDT at 30% per 30 days accrues 10 USDT per eligible day. This example explains the calculation only.

7.3 Eligible earning days start on the activation date and end on the day before maturity, excluding only non-earning days expressly agreed before purchase.

7.4 The platform uses Romanian local time (Europe/Bucharest): Eastern European Time (UTC+2) during standard time and Eastern European Summer Time (UTC+3) during daylight saving time. Each earning day ends at 23:59:59 Romanian local time. All activation dates, maturity dates, daily credits and statement dates are interpreted using this time zone unless expressly stated otherwise.

7.5 A 30-day calculation is different from a calendar-month calculation. A 12-calendar-month package can contain more than twelve 30-day earning periods. The purchase confirmation must show the exact term and calculation method.

7.6 Earnings do not compound automatically. Reinvestment requires a separate authorised purchase.

7.7 Calculations retain sufficient internal precision. Posted amounts are rounded to two decimal places, with any rounding reconciliation shown separately.

7.8 A dashboard must distinguish projected earnings, accrued earnings and earnings currently eligible for withdrawal.

8. Capital at maturity

8.1 The Package Schedule must expressly state whether the original package purchase amount is repayable at maturity, included within scheduled payouts, or at risk without a contractual repayment commitment.

8.2 Apex may not deduct the same capital amount twice or treat earnings as repayment of capital unless that treatment was clearly agreed before purchase.

8.3 Where capital is repayable, the Package Schedule must state the repayment date, settlement process and any lawful conditions.

8.4 Packages do not automatically renew. Renewal or reinvestment requires express client authorisation.

9. Account balances and adjustments

9.1 The account ledger is calculated as:

Deposits − package purchases + credited earnings + earned commissions + capital repayments − completed withdrawals − disclosed fees ± documented adjustments.

9.2 A displayed balance is withdrawable only to the extent that its components have become payable under the applicable Package Schedule. Locked capital must be displayed separately.

9.3 Pending withdrawals may be reserved against the available balance. A reserved withdrawal must not also be deducted as a completed withdrawal. A failed or cancelled request must release the reservation.

9.4 Apex may correct genuine errors using supporting records. Each adjustment must show its amount, date, reason and effect on the balance.

9.5 Clients may dispute an entry and request a transaction statement. A correction must not be used to conceal a change to agreed package terms.

10. Withdrawals

10.1 Withdrawal requests must be submitted through the authenticated account or another officially documented process.

10.2 Before confirmation, Apex must show the requested amount, applicable fee, receiving network, destination address and expected net amount.

10.3 Standard processing time is [insert number] business days after receipt of a complete, valid request and any necessary verification documents.

10.4 The minimum withdrawal is [insert amount] USDT. Withdrawal and network fees are [insert amounts or calculation method], as disclosed before confirmation.

10.5 Apex may delay a withdrawal where reasonably necessary to investigate suspected fraud, verify ownership, comply with law or address a documented technical incident. Where legally permitted, Apex must provide the reason, outstanding requirements and progress updates.

10.6 Apex may not make an otherwise payable withdrawal conditional on buying another package, recruiting another client or making an additional investment.

10.7 Apex will not request payment of an undisclosed “release”, “unlock” or “tax clearance” fee to a private wallet as a condition of withdrawal.

10.8 Blockchain settlement time is additional to Apex’s processing time. Apex must provide the transaction reference once a transfer has been broadcast.

11. Commissions and referrals

11.1 Commission eligibility, calculation, earning conditions, reversals and payment timing must be disclosed in a separate Commission Schedule accepted before participation.

11.2 Commission is payable only for lawful activities expressly covered by that schedule. Account registration or recruitment alone does not create an entitlement to payment.

11.3 Referrers must not misrepresent returns, conceal risks, claim unverified regulatory approval or make promises on Apex’s behalf.

11.4 A reversal must have a documented contractual basis and must not remove unrelated earnings.

12. Cancellation, refunds and early exit

12.1 All applicable statutory cancellation, cooling-off and refund rights remain available.

12.2 Before activation, a client may request cancellation. Any permitted deduction must reflect a lawful, disclosed charge.

12.3 After activation, early exit is governed by the accepted Package Schedule and applicable law. Any restriction, notice period, deduction or loss allocation must be disclosed before purchase.

12.4 Where Apex cannot provide an agreed service, it must explain the available remedy and return amounts due under the agreement and applicable law.

13. Suspension and termination

13.1 Apex may restrict an account where reasonably necessary to address fraud, unlawful activity, a material breach, a security threat or a legal requirement.

13.2 Restrictions must be proportionate. Where legally permitted, Apex must explain the reason and provide a route to review.

13.3 Suspension or termination does not automatically forfeit a client’s funds or accrued contractual rights.

13.4 On closure, Apex must provide a final statement and settle amounts lawfully payable, subject to existing package obligations and lawful holds.

14. Privacy and communications

14.1 Apex processes personal information under its Privacy Notice at [insert link], which explains processing purposes, sharing, retention, security and applicable rights.

14.2 Verification providers, payment providers, custodians and authorities may receive information where reasonably required and legally permitted.

14.3 Marketing preferences are managed separately from essential account and transaction communications.

14.4 Apex will not ask for your wallet seed phrase, private key or authentication code.

15. Website use and availability

15.1 You may not interfere with the website, exploit vulnerabilities, manipulate balances, impersonate others or access accounts without authorisation.

15.2 Apex will take reasonable steps to maintain service availability and protect account information.

15.3 An outage does not, by itself, cancel payment obligations or permit retrospective changes to package terms.

15.4 Apex owns or licenses its website content and branding. Clients may retain copies of their agreements, statements and transaction records.

16. Liability

16.1 Each party remains responsible for losses caused by its breach, negligence, fraud or unlawful conduct to the extent required by applicable law.

16.2 Apex does not exclude liability for fraud, wilful misconduct, gross negligence or any liability that cannot lawfully be excluded.

16.3 A risk disclosure does not excuse Apex from carrying out its contractual obligations or exercising legally required care.

16.4 External events may delay performance where they genuinely prevent it. Apex must take reasonable steps to reduce their effects, notify affected clients and resume performance promptly. This clause does not extinguish an existing payment obligation.

17. Complaints and disputes

17.1 Send complaints to info@apexcryptowealth.com, including your account reference, relevant transactions and requested remedy.

17.2 Apex will acknowledge a complaint within five business days and aim to provide a reasoned response within 20 business days. If more time is needed, Apex will explain why and provide an expected response date.

17.3 Clients retain the right to approach a competent regulator, ombud, tribunal or court. Apex must identify any applicable external complaint body and its contact details.

17.4 Governing law and jurisdiction: These Terms are governed by Romanian law. Disputes may be brought before the competent Romanian courts, subject to any mandatory consumer rights concerning applicable law and jurisdiction. Nothing in these Terms restricts a client’s right to approach a competent regulator, ombud or other statutory dispute-resolution body.

18. Changes and notices

18.1 Apex will give at least 30 days’ notice of material changes, unless a shorter period is required by law or an urgent security measure.

18.2 Changes apply prospectively. A website update cannot retrospectively reduce accrued rights, change an existing package’s rate, extend its term or alter its capital treatment.

18.3 Notices may be sent to the client’s registered email and displayed in the account. Apex must retain accessible copies of accepted terms and package confirmations.

18.4 If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.

19. Client acknowledgement

Before purchasing, the client must separately acknowledge that they have received and understood:

• The operator’s identity and verified regulatory disclosures.
• The underlying activity and material risks.
• Whether the earnings rate is fixed, variable or a target.
• The calculation method, activation date and maturity date.
• Any administration period and non-earning days.
• The treatment of capital.
• Withdrawal restrictions, timing and fees.
• Cancellation, complaints and privacy information.

Acceptance: “I have read and agree to the Apex Terms and Conditions and the Package Schedule for this purchase. I understand the disclosed risks, calculation method, capital treatment and withdrawal conditions.”
